These Terms of Service ("Terms") govern your access to and use of the Conformiq website and software services at conformiq.co.uk (the "Service") provided by Conformiq ("we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organisation you represent (the "Customer").
1. The Service
Conformiq provides a hosted software platform to record equipment, store inspection certificates and receive reminders before certificates expire. We may improve, add to or modify features from time to time.
2. Accounts
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account. The first user to create an organisation account becomes its administrator and may invite additional users where the plan permits.
3. Subscriptions and billing
- Paid plans are billed in advance on a recurring monthly cycle through Stripe.
- Fees exclude VAT unless stated otherwise. VAT is added at the applicable rate.
- You may cancel at any time from Settings. Cancellation stops the next renewal; fees already paid are non-refundable except where required by law.
- We may change prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
4. Customer data
As between you and Conformiq, the Customer owns all data uploaded into the Service ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide, secure and support the Service. Our processing of personal data within Customer Data is governed by our Data Processing Agreement.
5. Acceptable use
You agree not to:
- Upload unlawful, infringing or malicious content.
- Attempt to disrupt, reverse-engineer or gain unauthorised access to the Service.
- Use the Service to send spam or unsolicited communications.
- Resell or make the Service available to third parties outside your organisation without our written consent.
6. Availability
We aim for high availability but do not guarantee uninterrupted service. We perform maintenance from time to time and will use reasonable efforts to minimise disruption.
7. Warranties and disclaimers
The Service is provided on an "as available" basis. To the extent permitted by law, we disclaim all implied warranties. Conformiq is a record-keeping and reminder tool — you remain responsible for meeting your own legal, regulatory and inspection obligations.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential damages. Our total aggregate liability arising out of or relating to these Terms is limited to the fees paid by the Customer to Conformiq in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
9. Termination
Either party may terminate for material breach that is not cured within 30 days of written notice. On termination we will delete or return Customer Data within 90 days, subject to statutory retention.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to account owners. Continued use after the effective date constitutes acceptance.
11. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
